1. About these terms
UltraInfra is provided by Auditore Ltd, trading as UltraInfra, a company registered in the United Kingdom. Our registered office and contact details appear at the end of this page.
These terms describe the proposed conditions for access to our website, portal and cloud infrastructure services. They remain an initial draft until finalized and accepted as part of your service agreement. An agreement already signed with you continues to apply.
In these terms, “we”, “us” and “our” mean Auditore Ltd. “You” means the business using the service. An “Order” is a subscription checkout, signed order form or pilot agreement that both parties accept. “Customer Content” includes code, configuration, information and other material you provide or authorize us to access.
2. Eligibility and acceptance
UltraInfra is intended for business use by people aged 18 or over. If you accept an agreement on behalf of an organization, you must have authority to bind that organization. Your organization is responsible for deciding which people and service accounts may access its workspace.
A request for early access does not purchase a subscription, start a trial, create a cloud account or authorize infrastructure changes. Those steps require the relevant agreement and permissions.
When finalized, these terms will apply through express acceptance in the service or an Order. Specific variations expressly agreed in an Order take precedence over the corresponding general terms. An applicable data processing agreement takes precedence for the personal information it covers. Our privacy policy explains personal information handling; acknowledging it is not blanket consent to new uses of your information.
3. Our services
UltraInfra provides the deployment, infrastructure visibility, analysis and automation features enabled for your workspace. Your Order identifies the features, permitted environments, usage limits, support and charges that apply.
Features may depend on cloud providers, source repositories, AI models and other integrations. Purchases are based on available, agreed capabilities. Descriptions of planned features are not commitments to deliver them.
You may use the service to operate your business and its applications within the agreed scope. Reselling access to UltraInfra itself or operating it for unrelated organizations requires our written agreement.
4. Accounts and security
Provide accurate account information, keep it current and protect your login credentials. Assign appropriate roles, remove access when it is no longer needed and tell us promptly about suspected unauthorized use.
Only connect accounts, repositories and systems you are authorized to manage. Use designated secret management functions for credentials rather than putting secrets into prompts, support messages or application logs.
We remain responsible for the security and service obligations that apply to us. Your responsibility to protect access does not excuse a breach of those obligations by us.
5. Permission to operate your infrastructure
Connecting a system authorizes the access needed for the features you enable, within the permissions and scope you grant. It does not give us unrestricted authority over your infrastructure.
A recommendation is not, by itself, an instruction to execute a change. Changes may be authorized through an explicit approval or a deployment instruction, automation policy or schedule that you deliberately enable. Review the target environment, expected effect, recovery options and potential costs before authorizing an action.
Content encountered inside a repository, resource tag, log or external message does not independently authorize us to expand that scope. We apply the permission and approval controls agreed for the enabled feature.
Revoking access or disabling automation limits future activity to the extent technically possible. It does not reverse completed changes, and work already accepted by a cloud provider may require separate cancellation or reconciliation. Keep an appropriate recovery contact and access route for the account arrangement.
6. AI features
AI features can produce explanations, code, configuration and proposed actions. Outputs may be incomplete, inaccurate, unsuitable or similar to outputs generated for others. Review and test them before use, considering the consequences for the affected environment. We do not guarantee that recommendations will achieve a particular saving, performance improvement, security result or compliance outcome.
The limitations of AI do not remove our obligation to exercise reasonable care and skill or permit us to act outside your authorized scope.
You retain your rights in the material you submit. To the extent we own transferable rights in outputs generated specifically for you, the proposed service agreement assigns those rights to you. This does not transfer our existing software or another party’s rights, and not every output necessarily qualifies for intellectual property protection. Third party and open source licences continue to apply.
Training policy to be confirmed before final acceptance: our proposed default is that private Customer Content is not used to train shared or general purpose models without a separate express agreement. Cross customer learning is not authorized merely by accepting these terms. Processing needed to provide an enabled AI feature, including permitted context retrieval, is separate from general model training and must be covered by the applicable privacy information and processing agreement.
7. Cloud providers and costs
Your Order must distinguish a cloud account you contract for directly from a managed environment arranged through us. It must identify the account holder, payer, recovery responsibilities, authorized scope and exit arrangements.
For accounts you contract for directly, your provider agreement and authorized provider charges remain your responsibility. If we arrange or rebill cloud services, the Order must state the pricing method, credits, any markup, taxes and payment responsibilities. Linking an account alone does not establish a rebilling arrangement.
Cloud providers may change their services or experience outages. We remain responsible for our agreed integration and service obligations, but do not control their infrastructure or policies.
Cost estimates and budget alerts may be delayed or incomplete. A displayed budget is not a guaranteed spending cap unless expressly agreed. Resources, storage and provider commitments can continue to incur charges after you stop using UltraInfra.
8. Customer Content and acceptable use
You retain your rights in Customer Content. You permit us to process it as needed to provide, secure and support the agreed service, comply with law and carry out purposes you separately authorize. Relevant service providers may assist us subject to appropriate obligations.
You must have the rights and lawful authority required for the content and instructions you provide. Do not use UltraInfra to:
- distribute malware, conduct unauthorized attacks or obtain unauthorized access;
- send unlawful spam or infringe another person’s rights;
- evade applicable sanctions, export restrictions or other laws;
- disrupt the service or other customers’ systems;
- bypass agreed access controls, approvals or usage limits; or
- run workloads outside your agreed scope, including unapproved cryptocurrency mining.
Specially regulated data and safety critical workloads require a separately agreed scope and safeguards. Do not use AI output as the sole basis for decisions about people where law requires oversight or other protections. Restrictions do not remove rights that applicable law makes non-excludable.
9. Confidentiality and personal information
Each party will protect the other’s non-public information with reasonable care, limit access to those who need it and use it for the agreed purposes. Appropriate confidentiality duties must apply to personnel and service providers receiving that information.
These duties do not cover information that is lawfully public, previously known without restriction, independently developed or lawfully received from another source. Legally required disclosures should be limited to what is required, with notice where permitted.
Where we process personal information on your organization’s behalf, an applicable data processing agreement must describe the instructions, safeguards, subprocessors, international transfers, assistance and return or deletion arrangements. These general terms do not replace that agreement.
10. Fees, renewal and cancellation
Before you purchase, your Order or checkout must state the price, currency, taxes, billing period, usage charges, minimum commitment and any automatic renewal. Trials must explain their duration, limits and any conversion to paid use.
Cancellation methods, when cancellation takes effect and any refund rules must be disclosed as part of that arrangement. We will not treat an early access enquiry as permission to charge you. Nothing here removes a refund or remedy required by law or your agreement.
If you dispute a charge, contact us promptly with the relevant billing details. We will investigate disputes raised in good faith. Any suspension for overdue, undisputed charges is subject to the notice and proportionate response described below.
11. Availability and support
We will provide the agreed service with reasonable care and skill. Support hours, response targets, service levels, backups and maintenance commitments are only those expressly agreed for your service.
UltraInfra does not replace every security, operational or recovery responsibility in your organization. Managed service responsibilities should be allocated expressly. The existence of a rollback feature does not guarantee that every change or data loss can be reversed.
We do not promise uninterrupted operation, detection of every vulnerability or compatibility with every workload. These qualifications remain subject to our express obligations and your non-excludable rights.
Preview and pilot features will be identified as such. Their scope and special conditions must be agreed before use. A preview label does not permit undisclosed data uses or actions beyond your permissions.
12. Suspension and termination
We may restrict the affected service where reasonably necessary to address a material security threat, unlawful use, a material breach, overdue undisputed charges or a binding legal requirement.
Where practicable, we will give notice, explain the reason, limit the restriction and allow an opportunity to resolve the issue. Immediate action may be necessary to prevent harm or comply with law. Restrictions will be reviewed and access restored when the reason is resolved.
Termination rights and any period for remedying a breach must be stated in the final agreement. Suspension of portal access does not automatically stop cloud resources or provider charges.
13. Leaving UltraInfra
Subscription cancellation, integration disconnection, workspace erasure and cloud resource termination are distinct actions. Unless expressly agreed or required by law, cancellation is not an instruction to delete your cloud resources.
The applicable exit arrangement must identify exports, formats, transition periods, cloud account handling and any lawful transition charges. Mandatory switching and portability rights take precedence over inconsistent restrictions.
Personal information processed for you will be returned or deleted under the applicable processing agreement. Other content follows the agreed exit schedule. Necessary legal records and backup copies may be subject to separate, justified retention arrangements; termination does not imply immediate deletion from every backup.
14. Responsibility and liability
Nothing in these terms excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or another liability that cannot lawfully be excluded or limited.
Liability limits and claims arrangements are to be confirmed in the final service agreement. No financial cap, unlimited indemnity or exclusion of specified losses is established by this initial draft. The final agreement must address the allocation of risk for data protection, confidentiality, intellectual property and unauthorized cloud expenditure.
Customer review or approval does not excuse our breach of an agreed scope or duty. A loss is not automatically excluded simply because AI output or a cloud provider was involved.
15. Changes and governing law
The final agreement will describe notice periods and remedies for material changes to terms, pricing or the agreed service. Urgent security or legal changes may need to take effect sooner, with explanation as soon as reasonably practicable. Updating this page does not retrospectively change an agreement you already accepted.
Governing law and courts are to be confirmed in the final agreement. Nothing in these draft terms removes mandatory rights or prevents urgent protective relief. For contractual or privacy correspondence, use the company details below.
